Terms of Service

These Terms of Service constitute a legally binding agreement between you and [LEGAL ENTITY NAME / OPERATOR] governing your access to and use of StayTop.live and its competitive attention ranking grid.

Binding Legal Notice: Please read these Terms carefully before submitting spots or making monetary payments. These Terms must be read alongside our Privacy Policy. By accessing or using StayTop.live, you confirm that you have read, understood, and agreed to all terms stated herein.

1. Acceptance of Terms

By accessing, browsing, submitting content, claiming a spot, or making monetary contributions on StayTop.live (the "Platform" or "StayTop"), you agree to comply with and be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately discontinue use of the Platform.

2. Eligibility & Legal Capacity

You represent and warrant that you are at least 18 years of age (or the legal age of majority in your jurisdiction) and possess full legal capacity to enter into a binding financial contract. If you are accessing the Platform on behalf of a company, brand, or organization, you represent that you possess the necessary authorization to bind that entity to these Terms.

3. About StayTop & Platform Nature

StayTop provides promotional visibility and leaderboard placement services. Customers pay for promotional placement of their submitted website, profile, content, brand, product, or project. Promotional amounts determine relative leaderboard positions.

4. How StayTop Works

  • Public Discovery: Anyone can freely browse promotions, discover featured listings, and click through to external links.
  • Promotion Creation: Users can list a new URL or profile by selecting an appropriate category and submitting verified public information.
  • Promotional Placement & Positioning: Customers set a promotional amount to secure and increase their listing's position on the public leaderboard. Higher promotional amounts move listings to higher positions.

5. Creating & Claiming Promotions

When submitting a promotion on StayTop, you agree to:

  • Provide a valid, accessible destination URL (e.g., website, social profile, YouTube video/channel).
  • Ensure the handle and title accurately represent the destination and do not violate trademark or impersonation rules.
  • Understand that initial submission activates promotional placement once the promotional amount meets the minimum threshold (₹10 INR).

6. Leaderboard Positioning & Promotional Model

Leaderboard positions are determined by promotional amounts:

  • Position Calculation: Listings are ranked from highest cumulative promotional amount (#1) downwards.
  • Position Increase Rule: To move ahead of a specific position, a promotional payment must raise the listing's total amount to at least ₹1 INR higher than the current occupant of that position.
  • Tie-Breaking: In the event of identical cumulative promotional amounts, the listing that reached the amount first maintains priority.

7. Strict Non-Financial Disclaimers

CRITICAL LEGAL NOTICE — PROMOTIONAL SERVICES ONLY

Payments are made for promotional visibility and leaderboard placement services and are not deposits, wagers, investments, or contributions to a prize pool. StayTop does not distribute monetary winnings or financial returns based on leaderboard position. StayTop is NOT:

  • An investment platform, financial product, or securities marketplace.
  • A crowdfunding equity platform, debt offering, or profit-sharing scheme.
  • A lottery, gambling activity, betting platform, or game of chance.
  • A registered charity, non-profit donation solicitor, or guaranteed commercial advertising contract.

Making a promotional payment provides paid visibility and positioning on a public digital leaderboard. Payments do NOT create equity, debt, shares, profit entitlement, commercial partnership, or financial return in StayTop or in any creator/brand listed on the Platform.

8. Payment Processing via Razorpay

All monetary transactions on StayTop are denominated in Indian Rupees (₹ INR) and processed securely via Razorpay Software Private Limited, an authorized payment aggregator in India.

  • Payments are calculated in exact integer paise (Paise = INR × 100).
  • Accepted payment instruments include UPI, debit/credit cards, and net banking as supported by Razorpay checkout.
  • StayTop never accesses or stores your banking passwords, CVV, or UPI PINs.

9. Confirmation & Immediate Service Delivery

Upon completion of checkout, Razorpay issues cryptographic signature tokens. Our server cryptographically validates the HMAC SHA-256 signature and immediately updates the live ranking database. The digital service (ranking promotion and spot elevation) is deemed fully performed and delivered immediately upon verified database execution.

10. Failed & Disputed Payments

If a payment fails, is cancelled, or is interrupted prior to cryptographic verification, no amount will be credited to the target spot, and the ranking will remain unchanged. If your bank account is debited but the transaction is marked failed by Razorpay, the funds are automatically reversed to your original payment source according to standard banking settlement timelines (typically 5–7 working days).

11. Refund & Cancellation Policy

All Verified Contributions Are Final & Non-Refundable

Because the digital service (instant promotional placement and visibility elevation on the public leaderboard) is delivered immediately and irrevocably upon transaction verification, all completed promotional payments are final and non-refundable.

Exceptions: Refunds will only be considered under the following strictly verified circumstances:

  • Technical Duplicate Billing: Where a gateway error causes a user to be charged multiple times for a single intended order.
  • Verified Unauthorized Gateway Fraud: Where fraudulent use of a payment instrument is confirmed through formal banking/Razorpay dispute procedures.

Changing position because another participant subsequently promoted their listing with a higher promotional amount is a natural function of the paid promotional leaderboard and is never grounds for a refund.

12. Pricing & Currency (INR)

All amounts are displayed in Indian Rupees (₹ INR). StayTop reserves the right to modify minimum starting amounts (currently ₹10 INR) or minimum promotional increments (currently ₹1 INR) to preserve platform health and prevent micro-spamming. Any adjustments apply prospectively.

13. No Guarantee of Rank Duration

Dynamic Promotional Leaderboard

StayTop provides NO guarantee that a listing will remain at #1 (or any specific rank) for any minimum duration. Leaderboard positions reflect current promotional totals. Another user or sponsor may promote their listing with a higher amount at any time to take a higher position. You accept full responsibility for your promotional decisions.

14. User-Submitted Content

You are solely responsible for the accuracy, legality, and appropriateness of any titles, descriptions, usernames, profile pictures, and destination URLs you submit to the Platform.

15. Content License Granted to StayTop

By submitting content, you grant StayTop a non-exclusive, worldwide, royalty-free, perpetual license to host, display, index, format, and promote your submitted spot title, username, category, description, and avatar across the Platform and in promotional marketing related to StayTop.

16. Prohibited Content & Abuse

STRICT ZERO-TOLERANCE POLICY: NO PORNOGRAPHY, ADULT CONTENT, OR NUDITY

StayTop is a mainstream public attention and discovery platform. We enforce an absolute, non-negotiable ban on any form of adult, sexually suggestive, or pornographic material. You strictly agree NOT to submit, promote, or link to:

  • Pornographic websites, video tubes, webcams, or adult entertainment networks.
  • Nude, semi-nude, or sexually explicit photos, videos, avatars, or media.
  • OnlyFans, Fansly, adult fan clubs, or paywalled adult content links.
  • Escort services, adult dating, strip clubs, erotic massage, or commercial sex work services.
  • Hentai, rule34, explicit animated media, or sexually suggestive illustrations.
  • Any content violating Sections 67, 67A, or 67B of the Indian Information Technology Act, 2000 or the Protection of Children from Sexual Offences (POCSO) Act.

Any listing violating this policy will be immediately and permanently purged from the leaderboard without notice, and no refunds will be issued. Serious violations will be reported to law enforcement authorities.

In addition to the adult content ban, you agree NOT to submit or promote any content that:

  • Contains malware, phishing links, trojans, or malicious software exploits.
  • Promotes illegal narcotics, controlled substances, firearms, weapons, or illegal gambling.
  • Constitutes hate speech, targeted harassment, defamation, extortion, or incitement to violence.
  • Infringes upon third-party copyrights, registered trademarks, or intellectual property rights.
  • Involves automated bot spamming, artificial traffic inflation, or attempts to circumvent rate limits.
  • Attempts to forge, falsify, or tamper with Razorpay transaction tokens or cryptographic signatures.

17. Impersonation & Sponsoring Profiles

Users may create or boost spots representing public figures, websites, or creators to demonstrate community support. However, sponsoring a public profile does NOT grant ownership of that profile or imply that the public figure endorses or is affiliated with StayTop. StayTop reserves the right to reassign, verify, or remove spots in the event of deceptive impersonation or trademark claims.

18. Intellectual Property Rights

The StayTop brand, visual design, ranking algorithms, logos, software codebase, and UI elements are the exclusive intellectual property of [LEGAL ENTITY NAME / OPERATOR]. All third-party logos, favicons, and trademarks displayed on spot cards remain the property of their respective owners and are used strictly for nominative, identification purposes.

20. Moderation & Takedown Rights

StayTop reserves the right, at its sole discretion and without prior notice, to review, hide, modify, disable, or permanently remove any listing that violates these Terms or creates legal/security liability. No refunds will be provided for spots removed due to violations of prohibited conduct.

21. Fraud & Technical Abuse Mitigation

Any attempt to manipulate rankings through fraudulent chargebacks, stolen payment instruments, or reverse-engineering platform security will result in immediate blacklisting of the destination URL and reporting to law enforcement authorities and payment processors.

22. Platform Availability & Maintenance

StayTop strives for continuous uptime but provides no guarantee of uninterrupted service. The Platform may experience scheduled maintenance, updates, or technical disruptions without liability.

23. Disclaimer of Warranties

THE PLATFORM AND ALL RANKING SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, STAYTOP AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, OR DATA. IN NO EVENT SHALL STAYTOP'S TOTAL AGGREGATE LIABILITY EXCEED THE LESSER OF THE TOTAL MONETARY AMOUNT PAID BY YOU TO STAYTOP IN THE PRECEDING THIRTY (30) DAYS OR ₹500 INR.

25. Indemnification

You agree to indemnify, defend, and hold harmless StayTop, its operators, directors, and technical affiliates from and against any claims, liabilities, damages, losses, or legal expenses arising out of your breach of these Terms or your submitted content.

26. Platform Modifications

StayTop reserves the right to modify, enhance, or discontinue any feature, category, or functionality of the Platform at any time with or without notice.

27. Modifications to Terms

We may revise these Terms periodically. Revisions become effective immediately upon posting to this page. Your continued use of the Platform after changes are posted constitutes binding acceptance.

28. Suspension & Termination

StayTop may terminate or suspend your access to the Platform immediately, without prior notice or liability, for conduct that violates these Terms or harms other users or the Platform.

29. Governing Law (India)

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of India, including the Information Technology Act, 2000, and the rules framed thereunder, without regard to conflict of law principles.

30. Dispute Resolution & Jurisdiction

In the event of any dispute or controversy arising out of these Terms:

  • Informal Negotiation: Parties agree to attempt informal resolution in good faith for at least thirty (30) days by contacting [LEGAL CONTACT EMAIL].
  • Exclusive Jurisdiction: Any unresolved dispute shall be subject to the exclusive jurisdiction of the competent courts situated in [DESIGNATED JURISDICTION / CITY, e.g., Ahmedabad, Gujarat, India].

32. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

33. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and StayTop regarding your use of the Platform, superseding all prior oral or written agreements.

34. Survival of Provisions

Sections relating to Non-Financial Disclaimers, Content Licenses, Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution shall survive any termination of these Terms or your use of the Platform.
